Shopware Promotion November 2025

1. Amazon Payments Europe S.C.A. (société en commandité par actions), a limited partnership by shares, is a company registered in Luxembourg, with registration number (RCS Luxembourg) B 153 265, whose headquarters are located at 38 avenue J.F. Kennedy, L-1855 Luxembourg. The VAT number is LU 24448288. The company Amazon Payments Europe S.C.A. is authorized by the Commission de Surveillance du Secteur Financier 283, route d’Arlon, L-1150 Luxembourg, as an electronic money institute (license number 36/10).

2. Participation in the promotion is open to any entity or sole proprietor that (i) is incorporated in Germany; (ii) integrates the Amazon Advanced API Service (“Amazon Pay”) on its desktop and/or mobile version of its Shopware e-commerce website (“Website”) for the first time between 1st of November and 15th of December, inclusive, pursuant to the requirements to the Merchant Account on https://pay.amazon.de/ and the terms of the Amazon Payments Europe S.C.A. User Agreement - Merchant Accounts (“User Agreement”); and (iii) follows and successfully completes the integration testing and verification performed according to applicable Amazon procedures, making Amazon Pay commercially available on its Website. An entity or sole proprietor that satisfies conditions (i) – (iii) above shall be considered a “Merchant”.

3. In order to qualify for the Offer (as defined below), the Merchant shall: (i) have Amazon Pay integrated at the Website in accordance with requirements of Section 2 above; (ii) continue using Amazon Pay on the Website for entire duration of the Offer Term as defined below; and (iii) have successfully processed at least one (1) transaction using Amazon Pay on its Website (“First Amazon Pay Transaction”) between 1st of November and 15th of December. Any Merchant that satisfies these conditions will be considered a participant (the ‘Participant’). Notwithstanding anything in the User Agreement or any amendment to the User Agreement to the contrary, a Merchant shall still be eligible to be a Participant if such Merchant already benefits from reduced Service Fees, provided he meets all the requirements set forth in Sections 2 and 3.

4. For the transactions completed during the Offer Term, the Participant will pay a reduced Processing Fee of 0% and Authorisation Fee of 0.00 EUR, as defined in the applicable Amazon Pay Fee Schedule (collectively, “Service Fees”) (“Offer”). The standard fees are displayed at https://pay.amazon.de/help/SKX7JCY3G3SP73U as applicable beginning 8 January 2024. All other standard fees that have not been reduced in accordance with this Offer shall continue to apply.

5. The promotion will be running for a period of sixty (60) consecutive days from 20th of December which will be considered as “Offer Term.” All months in the Offer Term to be completed consecutively without breaks, pauses or gaps. The Offer is not cumulative and cannot be combined with the same or similar type of offer organized by Amazon.

6. Participants are eligible for only one (1) Offer during the Term and in one jurisdiction.

7. No purchase necessary and no fees due to receive the Offer.

8. The Offer is non-transferable, may not be substituted or exchanged for other products or services, and cannot be converted into any cash value. Merchant participation in the Offer shall be terminated in the event the Merchant creates more than one Merchant Account with the view to qualifying for the Offer and Amazon shall apply standard fees rates for its services in accordance with the Fee Schedule from the date the Merchant’s participation in the Offer is terminated.

9. The Offer is subject to Participant’s compliance with the terms of the Amazon Payments Europe User Agreement – Merchants Accounts. The Merchant Account must be in good standing throughout and for all the Offer Term.

10. The Offer may be withdrawn or amended at any time by Amazon without notice.

11. The laws of Luxembourg govern these terms and conditions, without giving effect to any principles of conflicts of laws. Any dispute relating in any way to the Offer of participation in the promotion will be exclusively adjudicated in the jurisdiction of the courts of Luxembourg.
